Welcome to CentricityResearch.com (the “Site”). This Site is operated by Centricity Research (“Centricity Research,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of our Site. By using or accessing the Site (including submitting any information through our lead forms), you agree to be bound by these Terms. If you do not agree, please do not use the Site.

Please also review our Privacy Policy and Cookie Policy, which describe how we collect, use, and protect your information. These policies are incorporated by reference into these Terms. By using the Site, you consent to the practices described in those policies.

1. Purpose of the Site and Services

Centricity Research is one of the largest clinical research networks in North America, with sites across the United States and Canada. The Site provides information about our clinical trial services, allows patients to express interest in participating in clinical trials or health screenings, and enables industry partners (such as Contract Research Organizations (CROs) and trial sponsors) to contact us about business opportunities. All content on this Site is provided for general informational purposes only. While we strive to keep information up-to-date and accurate, we make no warranties or guarantees regarding the accuracy, completeness, or timeliness of any information on the Site.

No purchase or payment is required to use this Site or to participate in our clinical research opportunities. The Site does not offer any products or services for sale; it is purely a resource for information and lead generation. If you choose to participate in a clinical trial or screening, that participation will be subject to separate informed consent and other documentation, not these Terms.

2. Medical Information Disclaimer

No Medical Advice: All health-related or medical information on this Site is provided for informational purposes only. It is not intended as medical advice, diagnosis, or treatment. Nothing on this Site should be a substitute for professional medical advice or care. Always seek the advice of a qualified physician or other licensed healthcare provider for any medical questions you have. Do not disregard medical advice or delay seeking treatment because of information you obtained from this Site.

No Doctor-Patient Relationship: Using this Site or communicating with Centricity Research through this Site does not establish a doctor–patient (or other healthcare provider–patient) relationship. Any relationship with a healthcare provider at Centricity Research will only be established through direct, in-person or telehealth interactions under separate terms and informed consent. The Site itself is not providing medical care or advice to any individual.

Not for Emergencies: Do not use this Site to report a medical emergency or urgent medical problem. In case of an emergency or if you need immediate medical attention, call 911 (in the U.S.), 999/112 (in Canada for emergency services), or contact your local emergency medical services immediately. Centricity Research is not an emergency service and the Site is not monitored for emergency communications.

Informational Content: While we may present information about clinical trials, research studies, health conditions, or potential treatments, such information is general in nature. It may not be applicable to your specific health circumstances. We do not recommend or endorse any specific tests, physicians, products, procedures, opinions, or other information that may be mentioned on the Site. Any reliance you place on information from this Site is strictly at your own risk.

3. User Eligibility

Age Requirement: The Site is intended for use by adults. If you are under the age of 18 (or the age of majority in your jurisdiction), you may only use the Site and submit information with the involvement and consent of a parent or legal guardian. By using this Site, you represent and warrant that you are at least 18 years old or that you are using the Site under the supervision of a parent/guardian who agrees to be bound by these Terms. If you are a parent or guardian assisting a minor to use this Site, you agree to these Terms on behalf of the minor and take responsibility for the minor’s use.

Location: The Site is intended for individuals in the United States and Canada. We make no representations that the Site or its content is appropriate or available for use in other countries. If you access the Site from other jurisdictions, you do so on your own initiative and are responsible for compliance with any local laws.

4. User Submissions and Consent to Communications

Submitting Your Information: Our Site features lead forms and contact forms that allow you to express interest in participating in clinical trials or health programs, or to inquire about our services (for example, if you are a sponsor or CRO looking to partner with us). When you submit information through these forms (such as your name, contact details, health information, or any other personal data), you agree to provide true, accurate, and current information. You should only submit information about yourself. If you choose to provide information about another person (for example, if you are a caregiver or legal guardian submitting on behalf of a patient), you must have the authority to do so and by submitting such information you represent that you have obtained all necessary consents from that individual.

No Unlawful or Disruptive Content: You agree not to submit any content that is unlawful, harmful, defamatory, obscene, infringing, or otherwise objectionable. This includes refraining from uploading or transmitting any software viruses or any other malicious code via our forms or other interactive features. Any information you submit must not violate the intellectual property or privacy rights of others. We reserve the right to delete any submissions that we believe violate this provision or to restrict your use of the Site if such misuse is detected.

Consent to Be Contacted: By providing your contact information (such as phone number, email address, and/or mailing address) through our Site, you expressly consent to being contacted by Centricity Research and its affiliates. This may include contact by telephone, email, SMS/text message, or postal mail for the purposes of: (a) following up on your interest in clinical trials or health screenings; (b) providing you with information you requested; (c) asking for further information to assess your eligibility for a study; or (d) for business-related inquiries if you represent a sponsor, CRO, or other organization.

• Automated Communications: You agree that we may use automated telephone dialing systems or pre-recorded/artificial voice messages to contact you by phone or text (SMS) at the number you provided, and that we may send you informational or marketing emails to the email address you provided. Message and data rates may apply to any SMS/text communications, and you are responsible for any such charges from your mobile carrier. You are not required to consent to automated calls or texts to use our services; if you prefer not to be contacted by phone, please let us know through other means.
• Opting Out: You have the right to opt out of or withdraw your consent to receive communications at any time. To opt out of emails, you may use the “unsubscribe” link provided in our emails or contact us directly requesting removal. To opt out of texts or calls, you may follow instructions provided (such as texting “STOP” in response to a text message) or contact us requesting no further calls or texts. Your consent to communications will remain in effect until you opt out, and opting out will not affect our ability to contact you for non-marketing or administrative purposes (for example, to confirm an appointment if you have one, or as otherwise permitted or required by law).

Canadian and U.S. Compliance: We comply with applicable communication laws, including the U.S. Telephone Consumer Protection Act (TCPA) and Canada’s Anti-Spam Legislation (CASL). By providing your information and consenting to be contacted, you acknowledge that such consent meets the requirements of applicable laws. If you are a Canadian user, we will ensure that our electronic communications to you meet CASL requirements (for example, providing clear identification of the sender and an unsubscribe mechanism). If you are in the U.S., our communications practices aim to comply with TCPA and CAN-SPAM Act for emails.

Business Development Inquiries: If you submit a form or contact request on behalf of a company or as a representative of a sponsor/CRO, you represent that you have the authority to act on behalf of that organization. We will use your information to contact you regarding potential business collaboration, and you consent to such contact as described above. Your communications with us for business purposes may be retained by us for follow-up and relationship management.

5. Privacy and Data Protection

Personal Data and Health Information: When you use our Site and submit personal data (including health-related information), we will collect, use, store, and disclose that information in accordance with our Privacy Policy, as well as applicable laws in the U.S. and Canada. Centricity Research is a covered entity under the U.S. Health Insurance Portability and Accountability Act of 1996 (HIPAA), which means we are required to protect the privacy and security of any protected health information (“PHI”) you submit. We are also committed to complying with Canada’s Personal Information Protection and Electronic Documents Act (PIPEDA) and any relevant provincial privacy laws for our Canadian operations. We implement administrative, physical, and technical safeguards to protect your personal information against unauthorized access or disclosure.

Consent to Data Processing: By using the Site and submitting information, you consent to the processing of your personal data (including any health data) by Centricity Research for the purposes described in these Terms and in our Privacy Policy. Because we operate in both the United States and Canada, you understand and agree that your personal information may be transferred across national borders and stored or processed on secure servers located in either country. We will ensure that regardless of where your data is processed, it will receive an adequate level of protection in compliance with applicable privacy laws. If you are located in Canada, be aware that information transferred to the United States may be subject to U.S. laws and accessible to U.S. law enforcement or government agencies under lawful orders, but we will only transfer data as allowed by law and with appropriate safeguards in place.

Data Use and Purpose: We will use the personal information you provide only for legitimate purposes: for example, to determine your eligibility for studies, to contact you about enrollment or scheduling, to provide you with information you requested, to connect sponsors/CROs with our team, or to improve our services. We do not sell your personal information to third parties. We may share your information with trusted partners or affiliates (such as clinical investigators, study coordinators, or service providers) who assist us in our research and recruitment activities, but only as permitted by law and under obligations of confidentiality. Any sharing of health-related information will be done in accordance with HIPAA authorization requirements or under an appropriate legal basis (for instance, using de-identified data or as part of “preparatory to research” reviews allowed by HIPAA).

Security: We care about the security of your data. We use industry-standard encryption and security protocols to protect data submitted through our Site (for example, our web forms are encrypted via HTTPS). However, no method of transmission over the Internet or electronic storage is 100% secure. Therefore, while we strive to protect your personal information, we cannot guarantee absolute security. 6. User Obligations and Acceptable Use

• No Misrepresentation: You will not impersonate any person or entity or misrepresent your affiliation with any person or entity when using the Site or communicating with us. This includes not using false identities or providing false information in any forms.
• Respect for Rights of Others: You will not use the Site to upload or transmit content that infringes upon the intellectual property rights or privacy/publicity rights of others. You will not engage in any harassing, threatening, abusive, defamatory, racist, sexist, obscene, or otherwise objectionable behavior toward our staff or other users through any Site interfaces (such as contact forms or comments, if enabled).
• Limited Use of Content: You may access and use the content on our Site for your personal, non-commercial informational purposes. You agree not to scrape, mine, or otherwise extract data from our Site for any commercial or data harvesting purpose without our prior written consent. You will not use any automatic system (such as robots or spiders) to access the Site in a manner that sends more requests to our servers than a human can reasonably produce in the same time.

If we determine, in our sole discretion, that you have violated any of these obligations or any other provision of these Terms, we may take appropriate action, including terminating or suspending your access to the Site (see Termination below). Unauthorized use of the Site may also give rise to a civil claim for damages and/or be a criminal offense under applicable laws.

7. Intellectual Property Rights

Ownership of Site Content: Unless otherwise noted, Centricity Research and/or its licensors own all rights, title, and interest in and to the content on this Site. This includes, but is not limited to, all text, graphics, logos, button icons, images, audio clips, video, data compilations, software, and overall design of the Site. The compilation of all content on the Site is protected by U.S. and Canadian copyright laws and international treaties. All content is provided for your personal, non-commercial use. You may not reproduce, distribute, modify, create derivative works of, publicly display, perform, republish, download, or transmit any of the material on our Site without our prior written consent, except as automatically cached by your web browser for normal viewing or as permitted under law (such as brief quotations with attribution or uses permitted by fair use/fair dealing exceptions).

Trademarks: “Centricity Research” and our logo, as well as any other product or service names or slogans displayed on the Site, are trademarks or service marks of Centricity Research (whether registered or unregistered) in the United States, Canada, and other jurisdictions. Other names or logos on the Site may be trademarks of our partners or other third parties. Nothing on the Site or in these Terms grants you any license or right to use any trademark displayed on the Site without our written permission or the permission of the trademark owner. Unauthorized use of our trademarks is strictly prohibited.

Third-Party Intellectual Property: We respect the intellectual property rights of others and ask our users to do the same. If you believe that any content on our Site infringes your copyright or other intellectual property rights, please notify us with detailed information so that we can investigate and address the issue (see Contact Information below for how to reach us). We reserve the right to remove content that allegedly infringes another’s rights at our discretion.

8. Third-Party Links and Resources

The Site may contain links to third-party websites or resources, such as clinical trial listings, partner organizations, news articles, or social media pages. These links are provided for your convenience and informational purposes only. Centricity Research does not control, endorse, or assume responsibility for any third-party sites or content. We make no representations or warranties regarding the accuracy, content, or practices of any third-party websites.

If you click on a third-party link, you will be directed to an external website that is not governed by these Terms or our Privacy Policy. We encourage you to review the terms and privacy policies of any third-party sites you visit. Your use of third-party websites is at your own risk, and Centricity Research will not be liable for any damages or consequences arising from your use of such external sites.

Please note that if our Site embeds content from third parties (for example, an embedded video or a social media feed), that third party may collect data about you subject to its own privacy policies. Centricity Research is not responsible for the data collection or privacy practices of third parties.

9. Disclaimer of Warranties

Use at Your Own Risk: The Site and all information, content, and services made available through it are provided on an “as is” and “as available” basis. Centricity Research disclaims all warranties of any kind, either express or implied, including but not limited to implied warranties of accuracy, completeness, reliability, merchantability, fitness for a particular purpose, title, and non-infringement.

Without limiting the above, we do not warrant that:

• The Site will be available at any particular time or location, or that access will be uninterrupted or error-free.
• Any defects or errors on the Site will be corrected, or that the Site will be free from viruses, malware, or other harmful components.
• The information on the Site (including descriptions of clinical trials or medical information) is complete, accurate, or up-to-date. We may update or change Site content at any time, but we are not obligated to do so promptly.

You understand that any content downloaded or otherwise obtained through the use of the Site is obtained at your own discretion and risk. Centricity Research is not responsible for any damage to your computer system or mobile device or loss of data that results from the download of any content from the Site.

Medical and Legal Disclaimer: To the fullest extent permitted by law, we also disclaim any liability for any medical or health outcomes that may result from your use of the Site. You acknowledge that no medical advice is provided on the Site and that you will not make medical decisions based on anything on the Site without consulting a qualified healthcare provider. Additionally, nothing in these Terms is intended to constitute legal advice. If you have questions about your rights or obligations (for example, about privacy or consent), you should consult your own legal counsel.

Some jurisdictions do not allow the exclusion of certain warranties or limitations on how long an implied warranty lasts, so some of the above disclaimers may not apply to you in full. In such cases, any implied warranties are limited to the shortest period permitted by law.

10. Limitation of Liability

Limited Liability: To the maximum extent permitted by applicable law, in no event will Centricity Research, its parent company, affiliates, subsidiaries, or their respective directors, officers, employees, agents, or partners, be liable for any indirect, special, incidental, consequential, or punitive damages arising out of or related to your use of (or inability to use) the Site or any content on the Site. This limitation of liability applies whether the alleged liability is based on contract, tort (including negligence), strict liability, or any other legal theory, even if we have been advised of the possibility of such damages.

No Liability for Certain Damages: In particular, and without limitation, Centricity Research will not be liable for:

• Personal injury or wrongful death allegedly arising from use of the Site or reliance on information provided on the Site.
• Emotional distress, lost profits, lost data, or business interruption resulting from your use of or inability to use the Site.
• Any action taken based on the information on the Site, or for any errors or omissions in the Site’s content.
• Damages to your computer system or loss of data that result from viruses or other harmful code acquired by accessing the Site or any site linked to it.
• Telephone, electrical, electronic, network, Internet, or computer malfunctions, failures, or difficulties of any kind that may affect your use of the Site or communications with us.

Cap on Direct Damages: To the extent we are found directly liable to you for any damages arising from or related to the Site or these Terms (despite the above disclaimers and limitations), our total cumulative liability shall not exceed USD $100 (or the equivalent in local currency). This cap on liability reflects the fact that use of the Site is provided free of charge.

Exceptions: Nothing in this section is intended to exclude or limit liability that cannot be limited under law. For example, if applicable law in a certain jurisdiction does not allow the exclusion of liability for gross negligence or willful misconduct, or does not allow exclusion of implied warranties, those exclusions may not apply to you. In such jurisdictions, Centricity Research’s liability will be limited to the fullest extent permitted by applicable law.

Canadian Consumers: If you are using the Site as a consumer in Canada, you may have certain rights under consumer protection laws, and nothing in these Terms is meant to limit your rights beyond what is permissible. However, to the extent permitted by law, the limitations and exclusions in these Terms apply.

11. Indemnification

You agree to indemnify, defend, and hold harmless Centricity Research, its parent company and affiliates, and each of their respective officers, directors, employees, agents, and representatives (the “Indemnified Parties”), from and against any and all losses, liabilities, claims, demands, damages, costs, or expenses (including reasonable attorneys’ fees and legal costs) arising out of or related to: (a) your use of the Site or any content obtained from the Site; (b) any User Submissions or information you provide (including any personal or health information, feedback, or other content) that violates the rights of a third party or any law; (c) your violation of these Terms or any applicable law or regulation; or (d) your negligence or willful misconduct in connection with using the Site or interacting with Centricity Research.

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with us in asserting any available defenses. You agree not to settle any such matter without the prior written consent of Centricity Research. This indemnification obligation will survive any termination of your use of the Site or these Terms.

12. Termination of Use

Right to Terminate: Centricity Research reserves the right, in its sole discretion, to terminate, suspend, or restrict your access to all or any part of the Site at any time, for any or no reason, and without notice or liability. For example, we may suspend or terminate your use if we believe you have violated these Terms, if we suspect any fraudulent or malicious activity, or if we decide to discontinue the Site or any portion of it.

Your Obligations Upon Termination: If your use of the Site is terminated for any reason, the provisions of these Terms that by their nature should survive termination (such as intellectual property rights, disclaimers, indemnities, limitations of liability, and governing law) will continue to apply to any past use of the Site by you. Upon termination, you must immediately cease all use of the Site.

No Guarantee of Availability: We may also remove or disable access to any portion of the Site, or shut down the Site entirely, at any time at our discretion. We do not guarantee that the Site will remain available indefinitely. Centricity Research shall not be liable to you or any third party for any termination or suspension of your access to the Site or for any modification or discontinuation of the Site.

13. Governing Law and Jurisdiction

United States: For users in the United States (or for any claims arising out of U.S. operations of Centricity Research), these Terms and any dispute arising out of or relating to the Site or these Terms shall be governed by and construed in accordance with the laws of the State of Georgia, USA, and the applicable federal laws of the United States, without giving effect to any conflict of law principles that would result in the application of the laws of another jurisdiction.

Canada: For users in Canada (or for any claims arising out of Canadian operations of Centricity Research), these Terms and any dispute arising out of or relating to the Site or these Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, and the applicable federal laws of Canada, again without regard to conflict of law principles.

Jurisdiction and Venue: You agree that any legal suit, action, or proceeding arising out of or related to these Terms or the Site must be brought in the following courts (except where prohibited by law): (i) if the claim is primarily related to U.S. operations or brought by a U.S.-based user, in the state or federal courts located in the State of Georgia, U.S.; or (ii) if the claim is primarily related to Canadian operations or brought by a Canadian-based user, in the courts of the Province of Ontario, Canada. You hereby consent to the exclusive jurisdiction of such courts and waive any objections to the exercise of jurisdiction over you by those courts or to the venue of those courts, except that Centricity Research retains the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant country.

Compliance with Local Laws: Recognizing the global nature of the internet, if you access the Site from outside the U.S. or Canada, you do so at your own risk and are responsible for compliance with the laws of your jurisdiction. We make no representations that the content of the Site is appropriate or lawful in any particular location.

14. Changes to These Terms

We may revise or update these Terms from time to time in our sole discretion. If we make material changes, we will post the updated Terms on this page and update the “Effective Date” at the top. It is your responsibility to review these Terms periodically for any changes.

By continuing to use the Site after any revised Terms are posted, you agree to be bound by the updated Terms. If you do not agree to the new terms, you should stop using the Site. We may (at our discretion) also notify you of significant changes to these Terms through additional means, such as a pop-up notice on the Site or an email if we have your contact information, but we are not obligated to do so.

15. Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy and Cookie Policy and any other guidelines or policies we expressly incorporate by reference, constitute the entire agreement between you and Centricity Research regarding your use of the Site. They supersede any prior or contemporaneous understandings, agreements, representations, or warranties (whether oral or written) regarding the same subject matter.

Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or other tribunal of competent jurisdiction, that provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect. Any invalid or unenforceable part will be interpreted in a manner consistent with applicable law to reflect, as closely as possible, the original intent of the parties.

No Waiver: Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Centricity Research.

Assignment: You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. Centricity Research may freely assign these Terms (in whole or in part) as part of a merger, acquisition, corporate reorganization, or sale of our assets, or by operation of law or otherwise. These Terms will inure to the benefit of and be binding upon each party’s successors and permitted assigns.

Language: These Terms are written in English. If they are translated into French or any other language for use in Canada or elsewhere, the English text shall prevail in the event of any conflict or inconsistency. All communications between you and Centricity Research shall be in English, unless we explicitly agree otherwise.
